Shareholders of UBS Group AG have expressed their strong support for all propositions presented by the Board of Directors during the Annual General Meeting (AGM) in Zurich on April 10, 2025. The independent proxy represented a total of 1,974,651,962 votes.

The management report and the consolidated and standalone financial statements for 2024 received backing from 99.28% of shareholders. The Compensation Report 2024 saw endorsement through an advisory vote by 86.70% of attendees.

Approval was also given to the UBS Sustainability Report 2024, with an advisory vote yielding 89.49% in favor. Shareholders sanctioned an ordinary dividend of $0.90 per share with a 99.77% vote.

Additionally, the AGM granted discharge of the board and executive members from their responsibilities for the 2024 financial year, accomplishing a 96.06% approval.

In terms of board membership, Colm Kelleher was confirmed as Chairman with 90.02% support. Other members, including Lukas Gähwiler, Jeremy Anderson, William C. Dudley, Patrick Firmenich, Fred Hu, Mark Hughes, Gail Kelly, Julie G. Richardson, and Jeanette Wong, received reelection for a one-year term. Newly elected members Renata Jungo Brüngger and Lila Tretikov joined them.

The Compensation Committee saw the reelection of Julie G. Richardson and Jeanette Wong, and the appointment of Gail Kelly for the coming year.

Financial approvals included the maximum aggregate compensation for both the Board of Directors and the Group Executive Board, as well as the variable compensation amount for the Group Executive Board.

Re-elections of key functions witnessed ADB Altorfer Duss & Beilstein AG, Zurich as the independent proxy and Ernst & Young Ltd, Basel as the auditors being re-elected.

Further meeting outcomes comprised the approval of an ordinary share capital reduction and a new 2025 share repurchase program.
