ANZBGL to redeem ANZ Capital Notes 5 in March 2025

Australia and New Zealand Banking Group Limited (ANZBGL) announced its plan to redeem all outstanding ANZ Capital Notes 5, issued on September 28, 2017. The redemption will occur on March 20, 2025, with each note being redeemed at its face value of $100. The bank has issued an Exchange Notice concerning these notes, traded under ASX: AN3PH.

As per the CN5 Terms in the prospectus dated August 24, 2017, and amended on January 3, 2023, the last trading day on the ASX will be March 5, 2025. Holders of CN5 on the register by March 7, 2025, will receive the face value and a final distribution of $1.5645 per note, subject to the defined terms.

ANZBGL clarified that this redemption does not imply a redemption of other callable capital instruments issued by the bank. Such actions require prior written approval from APRA, which may not necessarily be granted.

The release emphasized that it does not constitute an offer of securities within the United States, as these are not registered under the U.S. Securities Act of 1933, or in any applicable U.S. state laws.
