The Board of Directors of Societe Generale has approved the proposed renewals and appointments of board members ahead of the Shareholders’ General Meeting scheduled for May 20, 2025. This decision was made upon the recommendation of the Nomination and Corporate Governance Committee.
At this meeting, shareholders will be asked to vote on replacing two female directors: Mrs. Lubomira Rochet, who resigned in September 2024, and Mrs. Alexandra Schaapveld, whose third term as an independent director is ending. The board also proposes renewing three male directors: Mr. William Connelly, Mr. Henri Poupart-Lafarge, and Mr. Sébastien Wetter.
Mrs. Ingrid-Helen Arnold is being considered for her first term as an independent director. She brings expertise in information systems and digital transformations from her previous roles at SAP SE and Südzucker.
Mr. Olivier Klein is also proposed for his first term as an independent director, offering his knowledge in retail banking and macroeconomic issues from his experience at Lazard Frères Banque.
Mr. William Connelly has been a board member since 2017 and is up for a third term due to his financial expertise in investment banking, insurance, asset management, and large group management.
Mr. Henri Poupart-Lafarge seeks a second term with experience from Alstom that includes managing international groups and corporate client relations.
The proposal includes renewing Mr. Sébastien Wetter's term as Director representing employee shareholders or appointing Mrs. Emmanuelle Pételle if necessary.
If approved by the General Meeting, the Board will consist of 42% women (5 out of 12), with 92% being independent directors excluding those representing employees; foreign nationals will make up 40% with seven nationalities represented among the fifteen directors.
This composition aims to ensure that Societe Generale’s Board possesses all necessary skills to define strategy effectively and monitor its implementation.
